SAURABH BALWANI

Principal Head (Founder)

He is registered as an advocate with the Bar Council of Delhi, He has completed Masters in Laws specialization in international business laws from UCL London and is also a qualified company secretary. He has a vast experience in general corporate advisory, commercial and Contractual drafting and negotiations, competition laws, general litigation, court crafts and legal strategy building in civil and criminal cases. He also has sufficient in house experience in a public limited company and is well versed with the drafting of the SOP’s, its internal management policies and legal compliances of an Indian Company. He has worked for public and private companies, multinational corporations and both local and regional clients in a variety of industries, including, Automobile sector , Glass manufacturing, retail, healthcare, real estate holding and development, software developers etc., which works as an asset and an added advantage in understanding the nuances of business and its day today legal requirements. He is meticulous, articulate and focused professional, and possess the ability to adapt to the challenges presented.

WORK EXPERIENCE

·-   Advised clients on various issues relating to foreign direct investment, corporate finance, technical collaboration, share/asset purchase deals, and establishment of branch/liaison/project offices in India by foreign entities, external commercial borrowings, foreign exchange regulations, securities law, mergers, corporate restructuring and compliance audits. 

-      Drafting, Negotiations And Contract Management: Power purchase agreements, Tooling agreements, Term Loan Agreements, Hypothecation deeds, employment agreements, Price agreements, Service agreements, Technical assistance agreements, Outsourcing agreements, Distribution and Franchise agreement, equipment leasing, Agency Agreements, Leave and License agreements, sale deeds, trust deeds, Non-disclosure and confidentiality agreements, Demergers documentations, copyright assignment agreements, Legal notices and other agreements & handling due diligence work with regards various transactions entered into by the Company.

-         Empaneled as an Advocate for Punjab and Sind Bank
Handling all kinds of banking related corporate advisory, commercial drafting as well as litigation handling inclusive of drafting and appearing for the Bank in DRT, DRAT and NCLT/NCLAT, Delhi High Court and Supreme Court of India.

-     Conducting searches at office of sub-Registrars and related governmental authorities, Due Diligence with respect of the group housing projects, conversion of the land use, clear title of the property and etc., Providing Legal Scrutiny Report (Title Search report) mentioning the documents scrutinized and the legal opinion sought, researches regarding the stamp duty and registration of the property, drafting the necessary deeds.

·        Drafting of MOA, AOA, shareholders agreement(s) and other documentation required for incorporation of a Company, regular Licensing requirements from authorities, registration of Documents.

·     Assist in preparation of Minutes of Meetings of Board of Directors, Shareholders Meetings, Preparation/ Compilation of Annual Reports, application to Govt etc, Preparation and filing of E forms and Returns under Companies Act, Liasoning with ROC and Offices of Regional Directors for undertaking various compliances and activities including change of Registered office etc.  

·        Advising and ensuring compliance on a regular basis on the legal and regulatory issues of general nature (being matters relating to the quorum composition, resolutions for meetings of the board of directors and shareholders.

·      Write Petitions, Letter patent appeals, quashing petitions U/s 482 Cr. pc, regular and Anticipatory Bail applications, Criminal Contempt Petition, Criminal appeal against conviction/acquittal and various Miscellaneous Applications. Suit for declaration, partition and permanent injunction, Written Statements, Rejoinder, Replication, Rent Revision petition, Company Petitions, Winding up petitions and various Miscellaneous Applications.

District and Session Courts of Delhi

·      Drafted suits for Partition, Permanent injunction, suit for specific performance, Recovery Suits, Written Statements, Rejoinder, Replications, Divorce petitions, Regular and Anticipatory Bail Applications, Complaint petition U/s 138 N. I. Act, Written Submissions in cases U/s 302 IPC, Petitions under Motor Vehicle Act and other miscellaneous applications.

He has a sound functional knowledge and experience in criminal litigation, medical jurisprudence, personal laws, consumer laws having ability to drive issues to their logical conclusions with deft application of legal prudence, research and due diligence in legal strategy planning, legal documentation, drafting, vetting and pleadings. He is self-driven, focused and result oriented with impeccable work habits

Santosh Kumar

Mr. Santosh is a Fellow Member of the Institute of Company Secretaries of India and Law Graduate. He is currently practicing as a Company Secretary. He has rich experience in Corporate Law Compliances & Management Services. He has hand on experience in Compliance Management under the Companies Act, 2013, SEBI Laws & RBI regulations, Secretarial Audit, Due Diligence, Mergers & Acquisitions, Appearance before NCLT & Regional Director, advising clients on Board functions and its Process, Disclosures and other Compliances, Issue and Allotment of Securities & other Corporate Secretarial Activities.

Pranav Rishi

Litigation Associate

He is a qualified & legal practitioner from LL.B (Hons.) Guru Gobind Singh Indraprastha University (2011) registered with Bar Council of Delhi as well as a Mediator at (Samadhan), Delhi High Court Mediation and Conciliation centre. He has extensive experience at the Bar in filing and representing various corporate entities, educational institutes, individuals and Statutory and Regulatory authorities before the High Court Delhi, District Courts and other Statutory tribunals such as National Green Tribunal, Central Administrative Tribunal, National Consumer Dispute Redressal Commission. His primary areas of practice include Writ petitions, Civil and Criminal matters, Arbitration disputes, Educational disputes and Labour Laws disputes.

Anand Prakash

Intellectual property Laws and Documentation Associate

He is a qualified LL.M. graduate from NLU, Jodhpur (2013), registered with Bar Council of Delhi having work experience of over 10 years. He has worked as a Legal counsel with various government organization and have represented various private Insurance companies. He has specialisation in the field of Intellectual property laws, being a registered Trademark Attorney, he has extensive practical and theoretical knowledge in Trademark, Copyright and Patent filing(s) for various corporate Clients in India. He has over the years successfully filed, defended, opposed numerous Trademarks before Registrar Courts and Delhi High Court. He also has experience in Civil laws, property Documentation, Property Due diligence in India.
